Offer agreement
1. GENERAL
1.1. This public offer for the provision of a charitable donation (hereinafter referred to as the «offer»), an offer of a charitable organization “Help for Ukraine” (hereinafter referred to as the «Fund») represented by the director of the foundation Levko Mykola, who acts on the basis of the articles of association, to an indefinite circle of capable individuals and legal entities that voluntarily carry out charitable activities (hereinafter referred to as each of these persons – the «sponsor»), to conclude a contract for the provision of a charitable donation (hereinafter referred to as the «contract») on the terms described in this offer, with each sponsor who applies. 1.2. This offer comes into force from the moment it is posted on the fund’s website on the Internet at the link help-for-ukraine.org (hereinafter referred to as the «site»). This offer is open-ended and can be changed or withdrawn by the foundation at any time (prior to its acceptance by the sponsor) by posting relevant information on the website.
1.3. The foundation may enter into agreements on the provision of charitable donations in a different manner and/or under different conditions than provided for in this offer. The sponsor can apply to the Foundation separately to conclude such a contract.
2. SUBJECT OF THE AGREEMENT
2.1. The subject of this agreement is the gratuitous and voluntary transfer of funds by the sponsor to the fund’s ownership, through making a charitable donation for the implementation of the foundation’s statutory activities. The sponsor independently determines the amount of the charitable donation. The foundation independently determines the directions of using a charitable donation within the framework of its own statutory activities, unless otherwise determined by the sponsor in accordance with the procedure established by this Agreement. The subject of this agreement is not the receipt directly or indirectly of profit by any of the parties to the agreement.
2.2. The transfer of funds by The Sponsor under this agreement is recognized as a charitable donation
2.3. If desired, the sponsor can specify the intended purpose of the charitable donation by choosing among the programs (projects) and goals announced by the foundation.
3. ACTIVITIES OF THE FOUNDATION
3.1.the foundation carries out charitable activities in accordance with its charter.
3.2.the fund’s activities are not aimed at making a profit.
3.3.information about the fund’s activities and reports on the results of such activities are posted on the website.
4. MAKING A DONATION
4.1. The Sponsor independently determines the amount of the charitable donation.
4.2. The charitable donation is voluntary and is not subject to further return to the sponsor.
4.3. In accordance with these offers and the agreement, charitable donations are provided by sponsors and are used by the foundation to conduct and ensure charitable activities (implementation of the directions, goals of charitable activities and charitable programs) of the foundation in accordance with the Charter. The sponsor agrees with this purpose of his donation.
4.4. ways to make a charitable donation: • one-time payment; • subscription, which provides for monthly/ annual payments in any amount. The specified subscription can be canceled at any time through the user’s bank services (for example, Apple Pay, Google Play, and others).
5. RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1.the Foundation undertakes to use the funds of the sponsor’s charitable donation in strict accordance with the legislation and only within the framework of its statutory activities.
5.2.the foundation has the right to independently determine the directions of use of a charitable donation in accordance with its statutory activities and legislation, except for cases when the sponsor has determined the specific purpose of his donation under a separate agreement with the foundation. Thus, if the specific purpose of a charitable donation is not determined by the sponsor, it is considered that the donation was made for the implementation of the foundation’s statutory activities.
5.3.the sponsor has the right to receive information about the use of his charitable donation. To do this, the foundation may post monthly financial reports on the site, including information on (I) the amounts of donations received by the foundation during the reporting period and (II) The Fund’s expenses during the reporting period. Upon written request of the sponsor, the foundation can also confirm the intended use of the charitable donation with additional documents.
5.4.by providing a charitable donation, the sponsor unconditionally confirms his legal capacity and the voluntary conclusion of the contract.
6. Acceptance
6.1. Acceptance – full and unconditional acceptance of a public offer by performing actions to make a money transfer using payment forms and Means posted on the site. The moment of acceptance is the date when the money transfer was made and/or funds were credited to the fund’s Bank Current Account.
6.2. acceptance of the offer means that the sponsor agrees with all its provisions and fully understands and agrees with the subject of the agreement, for the purpose of public collection of donations and with the right of the fund to use part of the charitable donation of the sponsor for administrative expenses of the Fund, in the amount not exceeding that provided for by law.
6.3. The Sponsor and the foundation agree that the agreement is considered concluded from the moment of acceptance. At the same time, the parties agree that the parties ‘ failure to comply with the written form of the transaction does not mean that it is invalid.
6.4.the foundation processes the sponsor’s personal data provided when visiting the site and/or making a money transfer (hereinafter referred to as personal data) in order to properly implement this Agreement and its statutory activities. 1. ЗАГАЛЬНІ ПОЛОЖЕННЯ
1.1. Ця публічна оферта про надання благодійної пожертви (далі – «Оферта»), є пропозицією благодійної організації «Help for Ukraine» (далі – Фонд) в особі Директора Фонду Левко Миколи Олександровича, який діє на підставі Статуту, невизначеному колу дієздатних фізичних осіб та юридичних осіб, які добровільно здійснюють благодійну діяльність (далі кожна з таких осіб – «Благодійник»), укласти договір щодо надання благодійної пожертви (далі – «Договір») на умовах, описаних в цій Оферті, з кожним Благодійником, що звернеться. Засновник Фонду — Edward Hughey (Техас, США).
1.2. Ця Оферта набирає чинності з моменту розміщення її на сайті Фонду в мережі Інтернет за посиланням: help-for-ukraine.org (далі – «Сайт»). Ця Оферта є безстроковою та може бути змінена або відкликана Фондом у будь-який час (до її акцепту Благодійником) шляхом розміщення відповідної інформації на Сайті.
1.3. Фонд може укладати договори щодо надання благодійної пожертви в іншому порядку та/або на інших умовах, ніж це передбачено цією Офертою. Благодійник може окремо звернутися до Фонду для укладення такого договору.
2. ПРЕДМЕТ ДОГОВОРУ
2.1. Предметом цього Договору є безоплатна і добровільна передача Благодійником у власність Фонду грошових коштів, шляхом здійснення благодійної пожертви на здійснення статутної діяльності Фонду. Благодійник самостійно визначає розмір благодійного пожертвування. Фонд самостійно визначає напрями використання благодійної пожертви в рамках власної статутної діяльності, якщо інше не визначено Благодійником в порядку, визначеному цим Договором. Предметом цього Договору не є отримання прямо чи опосередковано прибутку жодною із Сторін Договору.
2.2. Передача Благодійником грошових коштів за цим Договором визнається благодійною пожертвою
2.3. За бажанням, Благодійник може вказати цільове призначення благодійної пожертви, обравши серед програм (проектів), цілей, оголошених Фондом.
3. ДІЯЛЬНІСТЬ ФОНДУ
3.1. Фонд здійснює благодійну діяльність відповідно до свого Статуту.
3.2. Діяльність Фонду не має на меті отримання прибутку.
3.3. Інформація про діяльність Фонду та звіти про результати такої діяльності розміщені на Сайті.
4. ВНЕСЕННЯ ПОЖЕРТВИ
4.1. Благодійник самостійно визначає розмір благодійної пожертви.
4.2. Благодійна пожертва є добровільною та не підлягає подальшому поверненню Благодійнику.
4.3. Відповідно до цих Оферти та Договору благодійні пожертви надаються Благодійниками та використовуються Фондом для проведення та забезпечення благодійної діяльності (реалізації напрямів, цілей благодійної діяльності та благодійних програм) Фонду відповідно до Статуту. Благодійник погоджується з таким цільовим призначенням своєї пожертви.
4.4. Способи внесення благодійної пожертви: • одноразовий платіж; • підписка, яка передбачає щомісячні/ щорічні платежі у довільній сумі. Вказана підписка може бути скасована у будь-який момент через сервіси банку користувача (наприкладб Apple Pay, Google Play та інші).
5. ПРАВА ТА ОБОВ’ЯЗКИ СТОРІН
5.1. Фонд зобов’язується використовувати кошти благодійної пожертви Благодійника у суворій відповідності із законодавством та лише в рамках своєї статутної діяльності.
5.2. Фонд має право самостійно визначати напрями використання благодійної пожертви відповідно до своєї статутної діяльності та законодавства , за винятком випадків, коли Благодійник визначив конкретну ціль своєї пожертви за окремим договором з Фондом. Таким чином, якщо конкретна ціль благодійної пожертви Благодійником не визначена, вважається, що пожертва внесена на здійснення Фондом статутної діяльності.
5.3. Благодійник має право на отримання інформації про використання його благодійної пожертви. Для цього Фонд може розміщувати на Сайті щомісячні фінансові звіти, які у тому числі містять інформацію щодо (і) сум пожертв, отриманих Фондом протягом звітного періоду, та (іі) витрат Фонду протягом звітного періоду. За письмовим запитом Благодійника Фонд може також підтвердити цільове використання благодійної пожертви додатковими документами.
5.4. Наданням благодійної пожертви Благодійник беззастережно стверджує свою дієздатність та добровільність укладання договору.
6. АКЦЕПТ
6.1. Акцепт – повне і безумовне прийняття Публічної оферти шляхом вчинення дій щодо здійснення грошового переказу за допомогою платіжних форм та засобів, розміщених на Сайті. Моментом Акцепту є дата здійснення грошового переказу та/або зарахування коштів на банківський розрахунковий рахунок Фонду.
6.2. Акцепт Оферти означає, що Благодійник згоден з усіма його положеннями та повною мірою усвідомлює і згоден з предметом Договору, з метою публічного збору пожертв і з правом Фонду використовувати частину Благодійної пожертви Благодійника на адміністративні витрати Фонду, в розмірі не більшому, ніж це передбачено законодавством.
6.3. Благодійник і Фонд погоджуються, що з моменту Акцепту Договір вважається укладеним. При цьому Сторони погоджуються, що недодержання сторонами письмової форми правочину не означає його недійсність.
6.4. Фонд здійснює обробку персональних даних Благодійника, наданих при відвідуванні Сайту та/або здійсненні грошового переказу (далі – персональні дані) з метою належної реалізації цього Договору та його статутної діяльності.
